In a significant strategic development, Adani Energy Solutions Limited (AESL) announced the execution of a Share Purchase Agreement (SPA) on August 14, 2026. Through this agreement, AESL will acquire 100% equity shares of Vizag Power Transmission Limited (VPTL).

Strategic Rationale and Project Alignment

This acquisition is a key component of AESL’s strategy to enhance shareholder value by pursuing growth through both organic expansion and inorganic opportunities. The acquisition of VPTL is directly linked to a substantial transmission project in Andhra Pradesh, valued at approximately ₹8,500 crore, which was previously highlighted in a media release regarding AESL’s success in securing this project. The newly acquired entity is poised to play a crucial role in facilitating the integration and supply of power for the ambitious proposed Green Hydrogen and Green Ammonia projects planned for the Vizag region, which anticipates a demand of around 4,500 MW.

Transaction Details

Vizag Power Transmission Limited has an authorized and paid-up share capital of ₹5 Lakh each. The transaction involved the acquisition of these equity shares for a cash consideration, at a face value of ₹10 per share, totaling 100% shareholding. VPTL is an Indian incorporated company, registered with the Registrar of Companies, New Delhi, on February 16, 2026. The completion of this acquisition is marked as Completed, signifying a swift integration into Adani Energy Solutions’ operational framework.
