Key Agenda Items for Ordinary Business

1. Adoption of Audited Financial Statements

The members will be asked to receive, consider, and adopt the Audited Financial Statements for the Financial Year ended March 31, 2026. This agenda item also includes the reports of the Board of Directors and the Auditors.

2. Re-appointment of Director

Mr. Nikhil Omprakash Gahrotra (DIN: 01277756), a director, retires by rotation and, being eligible, offers himself for re-appointment.

3. Re-appointment of Director

Mrs. Neha Sureka (DIN: 10759936), another director, retires by rotation and, being eligible, offers herself for re-appointment.

4. Remuneration of Joint Statutory Auditors

The meeting will also consider and approve the remuneration of the Joint Statutory Auditors for the Financial Year 2026-27. The proposed remuneration is up to ₹150 Lakh (Indian Rupees One Hundred and Fifty Lakh only) for comprehensive services including Limited Review, Statutory Audit, Tax Audit, Certain Regulatory Certifications, and incidental expenses. This proposal aligns with the Company’s growth and increasing audit scope, reflecting recommendations from the Audit Committee and the Board.
