PC Jeweller: Completes Warrant Conversion, Adds ₹41.24 Crore

PC Jeweller Limited has announced the allotment of 3,05,50,000 equity shares upon the conversion of fully convertible warrants. This action follows the receipt of a balance amount of ₹41,24,25,000 from promoter Shri Balram Garg. The conversion increases the company’s paid-up equity share capital to ₹974.10 crore, with the new shares ranking pari-passu with existing ones. This move is part of the company’s ongoing capital restructuring and growth strategy.

PC Jeweller Enhances Equity Capital Through Warrant Conversion

PC Jeweller Limited has officially completed the conversion of 3,05,50,000 Fully Convertible Warrants into equity shares. This significant corporate action, approved via a circular resolution on July 30, 2026, involves the allotment of an equal number of equity shares of face value ₹1/- each. The conversion was executed upon the company receiving the balance payment of ₹41,24,25,000 from Shri Balram Garg, the Promoter and Managing Director, at an exercise price of ₹13.50 per warrant.

Impact on Paid-Up Capital

This allotment directly contributes to an increase in the company’s paid-up equity share capital. Prior to this conversion, the paid-up equity share capital stood at ₹971,05,34,855, representing 9,71,05,34,855 equity shares. Following the allotment of 3,05,50,000 new shares, the total paid-up equity share capital has risen to ₹974,10,84,855, comprising 9,74,10,84,855 equity shares. The newly issued shares are stated to rank pari-passu with the existing equity shares of the company, ensuring equal rights and privileges for all shareholders.

Details of the Transaction

The conversion is in line with the SEBI (Issue of Capital and Disclosure Requirements) Regulations, 2018. The 9,72,22,222 Fully Convertible Warrants were initially allotted on a preferential basis. The exercise of these warrants, which were priced at an issue price of ₹18/- per warrant, represents a strategic move by the promoter to increase his stake and capital infusion into the company.
