Nazara Technologies: Approves Allotment of 1.33 Crore Equity Shares on Warrant Conversion

Nazara Technologies Limited has approved the allotment of 1,33,31,000 equity shares at a price of INR 195 per share upon conversion of warrants. This action was approved by the Board of Directors on July 30, 2026, following the receipt of the warrant conversion price. The total amount received from this conversion is INR 2,59,95,45,000. The newly allotted shares will rank pari-passu with existing shares.

Equity Share Allotment Approved

Nazara Technologies Limited announced today, July 30, 2026, that its Board of Directors has approved the allotment of 1,33,31,000 equity shares. These shares are issued upon the conversion of an equivalent number of warrants. The conversion price per warrant was set at INR 195, representing 75% of the original warrant issue price.

Financial Impact of Conversion

The conversion of these warrants has resulted in a significant cash inflow for the company. The total amount received from the warrant conversion is INR 2,59,95,45,000. The allotment includes 94,85,000 shares to Riambel Capital PCC-RCC1 and 38,46,000 shares to Plutus Investments and Holding Private Limited.

Share Capital Details

Following this allotment, Nazara Technologies’ paid-up equity share capital has increased. The number of equity shares outstanding has risen from 37,04,65,024 pre-allotment to 38,37,96,024 post-allotment. The total value of paid-up equity share capital has also increased from INR 74,09,30,048 to INR 76,75,92,048.

The company has received in-principle approvals from the BSE Limited and National Stock Exchange of India for listing these new shares. The allotted equity shares will rank pari-passu with the existing equity shares of the company in all respects.
