Transformers and Rectifiers (India) Limited has reported significant growth for the financial year ending March 31, 2026. The company achieved a standalone revenue of ₹2,395.49 crore and a net profit of ₹225.43 crore. Reflecting this strong performance, the Board of Directors has recommended a final dividend of 25%, amounting to Re. 0.25 per equity share. The company also announced the re-appointment of Mr. Rajendra S. Shah as an Independent Director for a second five-year term.

Financial Highlights

For the financial year ended March 31, 2026, the company demonstrated solid momentum. On a standalone basis, the company reported a total income of ₹2,452.34 crore, compared to ₹1,982.92 crore in the previous year. The standalone net profit rose to ₹225.43 crore from ₹187.57 crore in the prior year. On a consolidated basis, the company achieved an even stronger performance with a total income of ₹2,569.65 crore and a net profit of ₹272.17 crore, up from ₹216.43 crore in FY25.

Dividend and Shareholder Value

Following the strong annual results, the Board of Directors has recommended a dividend of 25%, equivalent to Re. 0.25 per equity share with a face value of Re. 1/- each. This proposal is subject to approval by the shareholders at the upcoming Annual General Meeting.

Leadership Continuity

The company announced the re-appointment of Mr. Rajendra S. Shah as an Independent Director. His new term will span five years, effective from May 25, 2026, to May 24, 2031, subject to shareholder approval. Mr. Shah brings over 35 years of experience in the precision engineering and auto-component manufacturing sector to the Board.

Employee Stock Option Plan Update

The company provided an update on its ESOP 2024 plan, noting that it had granted 26,32,968 options as of August 2025. This initiative is designed to align employee interests with long-term company growth, with a total expense of ₹10.31 crore recognized for the financial year 2026.
