Shriram Finance Limited has announced the implementation of specific share transfer restrictions following a shareholders’ agreement involving MUFG Bank Ltd. and several promoter group entities. As of April 8, 2026, these entities have entered into agreements imposing contractual limitations on the transfer of shares held in the company. These measures affect various promoter-affiliated trusts and companies, including Shriram Capital Private Limited and Sanlam Life Insurance Limited, to ensure long-term stability and strategic alignment.
Key Transfer Restrictions
Under the new shareholder agreement, several key entities, including Shriram Capital Private Limited, Shriram Value Services Limited, Shriram Ownership Trust, and Shriwell Trust, are subject to a 3-year lock-in period starting from April 8, 2026. During this time, they are prohibited from transferring their shares in the company, except for specific permitted transactions. Post-lock-in, any sales are restricted from being made to ‘Restricted Persons’ and are subject to a right of first offer available to MUFG Bank Ltd.
Impact on Sanlam Life Insurance
For Sanlam Life Insurance Limited and Sanlam Emerging Markets (Mauritius) Limited, the agreement mandates a 1-year transfer restriction, also effective from April 8, 2026. Following this one-year period, these entities are barred from transferring their holdings to ‘Restricted Persons’ under the agreement. These restrictions are conditional and will cease to apply should the shareholding of MUFG Bank Ltd. and its affiliates fall below 10% of the company’s total share capital on a fully diluted basis.
Scope of Encumbered Shares
The total volume of shares impacted by these encumbrance arrangements across the promoter group is significant. For instance, Shriram Capital Private Limited has placed 33,57,28,920 shares (representing 14.27% of the company’s total share capital) under these restrictions. Other entities, including Shriram Value Services Limited, also have their holdings encumbered to align with the contractual obligations established in the shareholders’ agreement, reinforcing the partnership structure between the involved parties.
