The transaction involves SAMHI acquiring a 70% (seventy percent) partnership interest and an equivalent share in the firm’s profits.

Transaction Details and Consideration

The total aggregate consideration approved for the Proposed Transaction amounts to INR 473.9 million. This consideration is divided into two primary components:

  • A primary capital contribution to the Firm totaling INR 233.9 million.
  • The acquisition of partnership interest from existing partners for INR 240.0 million.

The acquisition will occur in two successive tranches:

  1. Tranche 1: Involves a primary capital contribution of INR 168.9 million and acquisition of partnership interest for INR 144.0 million. This tranche secures an aggregate of 55% shareholding.
  2. Tranche 2: Involves a primary capital contribution of INR 65.0 million and acquisition of partnership interest for INR 96.0 million, completing the 70% stake acquisition.

The consummation of Tranche 1 is anticipated on or before 31st May 2026, with the second and final tranche expected within 12 months from the completion of Tranche 1.
