Employee Stock Option Grant Approved
Icon Facilitators Limited announced on November 06, 2026, that its Nomination and Remuneration Committee has approved the grant of a substantial number of stock options. A total of 675,000 stock options have been granted to eligible employees under the newly established Icon Facilitators Limited Employees’ Stock Option Scheme 2026, also referred to as ESOS 2026.
Scheme Details and Terms
Each stock option granted is convertible into one fully paid-up equity share of the company, with a face value of INR 10 each. The total number of equity shares covered by these options amounts to 675,000, each with a face value of INR 10. The exercise price for these options has been fixed at INR 10.
The vesting of these options will be determined by a schedule set by the Nomination and Remuneration Committee and will be specified in the grant letter and the ESOS 2026 document. The stock options will be exercisable from their respective vesting dates throughout the employee’s continuous employment with the company, subject to the terms outlined in ESOS 2026, including specific events or circumstances.
The company also clarified that the ESOS 2026 scheme details provisions for various scenarios, including death, permanent incapacity, resignation, termination, retirement, or abandonment. In cases of corporate actions such as rights issues, bonus issues, mergers, or acquisitions, appropriate adjustments to the number of options in ESOS 2026 may be made. Notably, equity shares allotted upon the exercise of these stock options will not be subject to any lock-in period and will rank pari passu with existing equity shares from the date of allotment.
