Board Approves New Subsidiary and Corporate Guarantee

Max Estates Limited announced on November 4, 2026, that its Board of Directors has given the green light for several key strategic initiatives. A significant resolution was the approval for the incorporation of a wholly-owned subsidiary. The detailed particulars required for this new entity, as per SEBI guidelines, are provided in Annexure A. This move is expected to facilitate further business expansion and operational flexibility.

Securing Financing for Subsidiary

In a move to support its subsidiary’s growth, the Board also approved the provision of a corporate guarantee. This guarantee is for a term loan facility of up to ₹350 crore, which is set to be availed by ‘Max Estates 128 Private Limited’ (referred to as ‘Max 128’), a wholly-owned subsidiary of Max Estates Limited. The corporate guarantee is a condition precedent to the facility and will remain valid until the loan obligations are fully discharged. Importantly, no promoter or promoter group entities have any direct interest in this transaction, other than through their holding in Max Estates Limited. The company highlighted that this guarantee represents a contingent liability with no immediate financial outflow.

Review of Financial Utilization Reports

These reports relate to the monitoring of the utilization of proceeds from a Qualified Institutional Placement and a Preferential Issue of Convertible Warrants. The reports, enclosed as Annexure B and Annexure C respectively, were recommended by the Audit Committee. These reviews ensure transparency and compliance in the deployment of raised capital.
