Board Approves Strategic Expansion
Max Estates Limited announced today, November 4, 2026, that its Board of Directors has given the green light for the incorporation of a new wholly-owned subsidiary. This strategic move is aimed at expanding the company’s operational footprint and business activities within the real estate sector.
Corporate Guarantee for Subsidiary Financing
In a significant financial endorsement, the Board also approved the provision of a corporate guarantee of up to ₹350 crore. This guarantee will support a term loan facility intended to be availed by the new subsidiary, identified as Max Estates 128 Private Limited (Max 128). This ensures that Max 128 will have the necessary financial backing for its planned activities, with the guarantee remaining valid until the subsidiary fully discharges its obligations under the loan facility. The company has clarified that neither the promoter nor any group companies have direct interest in this transaction, beyond Max 128 being a wholly-owned subsidiary.
Financial Review
Furthermore, the Board reviewed and accepted the Reports for the quarter ended September 30, 2026, issued by CARE Ratings Limited. These reports pertain to the monitoring of the utilization of proceeds from a Qualified Institutional Placement and a Preferential Issue of Convertible Warrants, as per SEBI regulations. The meeting confirmed that the corporate guarantee constitutes a contingent liability for Max Estates Limited, with no immediate financial outflow anticipated from its issuance.
Subsidiary Details
The incorporated subsidiary will have an authorized share capital of INR 10,00,000/- (Ten Lakh Rupees) divided into 1,00,000 equity shares of INR 10/- each. The proposed paid-up capital will be INR 1,00,000/- (One Lakh Rupees) divided into 10,000 equity shares of INR 10/- each. The subsidiary’s primary business will be in the Real Estate Industry, mirroring the core operations of the parent company.
