Board Approvals and Financial Updates from Neogen Chemicals
Neogen Chemicals Limited’s Board of Directors convened on Saturday, October 31, 2026, during which they reviewed and approved the company’s un-audited financial results for the quarter and half-year ended September 30, 2026, along with the limited review report from its statutory auditors. Strategic Financial Decisions
A significant outcome of the board meeting was the approval to increase the threshold for granting loans, inter-corporate deposits (ICDs), providing corporate guarantees, securities, and making investments in securities. This threshold is now set at up to ₹500 crore, as per Section 186 of the Companies Act, 2013, subject to member approval.
Material Related Party Transactions
The company’s board also approved several Material Related Party Transactions (RPTs). These transactions, which may be entered into between the Company and its step-down subsidiary, Neogen Morita New Materials Limited (NML), or between its wholly-owned subsidiary, Neogen Ionics Limited (NIL), and NML, are proposed for the period from December 8, 2026, to December 7, 2027. The approved RPTs include:
- Granting of unsecured loans and advances, including inter-corporate deposits/credit facilities, up to ₹200 crore between NIL and NML.
- Granting of corporate guarantees, securities, or indemnities up to ₹500 crore between the Company and NML, and also between NIL and NML.
- Sale of goods, purchase or supply of materials, leasing of property, and availing or rendering of services, with varying limits up to ₹500 crore.
These proposed transactions are expected to exceed materiality thresholds and will require shareholder approval via an ordinary resolution through a postal ballot process. The company also approved the expansion of its Organo-Lithium chemicals manufacturing facility at Patancheru, Telangana, with an estimated investment of up to ₹45 crore.
Debenture Redemption
Additionally, the board approved the pre-mature, voluntary early redemption, in full, of outstanding Non-Convertible Debentures (NCDs) with a face value of ₹200 crore, issued on a private placement basis. The exact redemption date will be determined by the Company.
