Tata Motors appoints Deloitte Haskins & Sells as new statutory auditors

Tata Motors Limited has announced a change in its statutory auditors, with the Board of Directors approving the appointment of M/s. Deloitte Haskins & Sells LLP. This appointment follows the resignation of the previous auditors, M/s. B S R & Co. LLP, with effect from October 30, 2026. The change is effective from October 31, 2026, pending member approval, and is intended to fill the casual vacancy caused by the resignation.

Statutory Auditor Resignation and Appointment

The Board of Directors of Tata Motors Limited (formerly TML Commercial Vehicles Limited) convened on October 31, 2026, to address the critical business of changing its statutory auditors. The Board took note of the resignation of M/s. B S R & Co. LLP, Chartered Accountants, from their position as statutory auditors of the Company, effective October 30, 2026. The company stated that there were no concerns raised by the resigning auditor regarding the management or material reasons for resignation beyond those documented.

New Auditor Inked

Following the resignation, the Board approved the appointment of M/s. Deloitte Haskins & Sells LLP, Chartered Accountants, as the new Statutory Auditors. This decision was made upon the recommendation of the Audit Committee and is effective from October 31, 2026. The appointment aims to fill the casual vacancy created by the departure of M/s. B S R & Co. LLP and is subject to the subsequent approval of the Company’s members. M/s. Deloitte Haskins & Sells LLP will hold office until the conclusion of the Company’s 3rd Annual General Meeting.

Resignation Rationale

The resignation of B S R & Co. LLP was triggered by the Company’s impending acquisition of Iveco Group N.V. Post-acquisition, Iveco is expected to become a subsidiary of Tata Motors, necessitating the consolidation of its financial statements. To ensure synergies and maintain consistency in audit processes across the group, the Company expressed its intention to align its auditors. This mutual agreement led to the immediate resignation of B S R & Co. LLP.
