These debentures are senior, secured, rated, unlisted, and redeemable, with a nominal value of INR 1,00,000 each.

The debentures have been allotted to Aditya Birla Capital Limited, a public limited company headquartered in Veraval, Gujarat. The issuance was made on a private placement basis. The allotment follows the approval of the Board of Directors and powers delegated to the Executive Committee, with the transaction occurring on September 21, 2026.
Use of Proceeds
The funds raised from this issuance are earmarked for strategic purposes, including the repayment of existing debt facilities. Additionally, the proceeds will be utilized for investment in group companies and for general corporate requirements. Associated Agreements
In connection with this issue, Anupam Rasayan India Limited has executed several key agreements:
- A Debenture Trust Deed with CTL Trusteeship Limited, acting as the debenture trustee.

- A Deed of Hypothecation creating a charge by way of hypothecation over specified assets in favour of the Debenture Trustee.
- Demand promissory notes issued to the Debenture Trustee.
- Letters of continuity in respect of the debentures.
Debenture Terms and Conditions
The debentures carry an applicable coupon rate of 10.25% per annum. A partial redemption of INR 99,500 per debenture is scheduled on or before October 21, 2026, along with accrued interest. The final redemption of the remaining principal (INR 500 per debenture) and accrued interest is due on October 21, 2027. The tenure of the instrument is 13 months from the allotment date.
Security and Governance
The debentures are secured by a first-ranking pledge over certain identified shares held by promoters and a hypothecation charge over an escrow account with Axis Bank Limited, which includes monies, securities, fixed deposits, instruments, and investments. The disclosure also confirms that CTL Trusteeship Limited is independent and not related to the promoter group of Anupam Rasayan India Limited, ensuring no conflict of interest. The entire transaction is governed by Indian law.
