Garware Technical Fibres Limited successfully conducted its 49th Annual General Meeting (AGM) on Tuesday, September 8, 2026. The meeting commenced at 10:30 a.m. IST and was held entirely through Video Conferencing/Other Audio Visual Means, adhering to the applicable provisions of the Companies Act, 2013, and relevant circulars.

Key Resolutions Passed

Ordinary Business

Under ordinary business, the shareholders considered and adopted the Audited Standalone and Consolidated Financial Statements for the financial year ended March 31, 2026, along with the Reports of the Board of Directors and Auditors.

Two ordinary resolutions related to dividends were approved:

  • Confirmation of the payment of an Interim Dividend of ₹8.00/- (80%) per equity share for the financial year 2025-26.
  • Declaration of a Final Dividend of ₹1/- (10%) per equity share for the financial year 2025-26.

An ordinary resolution was also passed to appoint a Director in place of Ms. Mayuri Vayu Garware, who retires by rotation and offered herself for re-appointment.

Special Business

In special business, shareholders approved:

  • The ratification of Cost Auditors’ remuneration.
  • The continuation of the appointment of Mr. Anil Sadashiv Wagle as a Non-Executive Independent Director.
  • The re-appointment of Dr. Shridhar Shrikrishna Rajpathak as a Non-Executive Independent Director.
  • The re-appointment of Mr. Vayu Ramesh Garware as the Managing Director.

Meeting Proceedings and Voting

The meeting saw the presence of Directors, Key Managerial Personnel, Statutory Auditors, and Secretarial Auditors. The Chairman, Mr. V. R. Garware, presented the Chairman’s Speech and briefed members on the company’s business performance for the financial year 2025-26. Voting on all resolutions was conducted through an e-voting system, with a remote e-voting facility also made available prior to the meeting. The total number of shareholders as of the cut-off date was 38,585, with 61 members attending the AGM via video conferencing.

The resolutions were passed with a significant majority, with only a small number of votes cast against them.
