New Appointments and Leadership Changes

The Board approved the appointment of Dr. Karthik Neelakandan as an Additional Director (Non-Executive Non-Independent Director). His extensive medical and healthcare management expertise is expected to contribute to the company’s expansion into protein, nutrition, and value-added dairy products. Furthermore, Mr. Ravi Chandran Ranganthan has been appointed as the new Chief Executive Officer (CEO), with his tenure commencing on October 1, 2026. Mr. Ranganthan brings over 15 years of experience in dairy manufacturing operations and business management.

Director Disqualification and Auditor Re-appointment

In a significant governance update, Mr. Ravi Rajappan, a Non-Executive Director, has been disqualified by virtue of Section 164(2)(a) of the Companies Act, 2013. This disqualification is effective from September 8, 2026. The Board also approved the re-appointment of M/s VSSR & Co., Chartered Accountants, as the Statutory Auditors of the Company. This re-appointment is for a period of five years, commencing from the conclusion of the 16th Annual General Meeting until the 21st Annual General Meeting in 2031, subject to shareholder approval.

Annual General Meeting Details

The notice for the 16th Annual General Meeting (AGM) was also approved. The AGM is scheduled for Wednesday, September 30, 2026, at 3:30 PM IST, to be conducted via Video Conferencing (VC) or Other Audio-Visual Means (OAVM). The book closure for the AGM will be from September 24, 2026, to September 30, 2026, inclusive. The cut-off date for determining eligibility to vote electronically is September 23, 2026. Remote e-voting will be open from Sunday, September 27, 2026, at 9:00 AM until Tuesday, September 29, 2026, at 5:00 PM.

Related Party Transaction Approval

A proposal for approval through a special resolution at the upcoming AGM is the material related party transaction between the Company and A R Dairy Food Private Limited (Group Company). This transaction is proposed to be up to ₹60 crores and will cover the period from the conclusion of the 16th AGM until the conclusion of the 17th AGM.
