The meeting is scheduled to commence at 3:00 PM IST and will be conducted entirely through electronic mode, utilizing Video Conferencing (VC) or Other Audio Visual Means (OAVM), in compliance with prevailing regulatory circulars.
Key Dates and Dividend Consideration
The company has fixed Friday, September 18, 2026, as the Record Date. This date will be used to determine the entitlement of shareholders for the purpose of the AGM, including the consideration of a final dividend. Shareholders are informed that the Board has recommended a final dividend of ₹1.34 per equity share for the financial year ended March 31, 2026. This is in addition to the interim dividend of ₹1.00 per equity share for the year 2025-26, which was paid in March 2026.
Share Transfer Books and E-voting
In preparation for the AGM, the Register of Members and Share Transfer Books of the Company will be closed from Saturday, September 19, 2026, to Friday, September 25, 2026. RCF will provide a remote e-voting facility for shareholders from Monday, September 21, 2026, at 9:00 AM IST until Thursday, September 24, 2026, at 5:00 PM IST. The cut-off date for determining e-voting entitlement remains Friday, September 18, 2026.
Director Appointments and Memorandum Amendments
The AGM agenda also includes several important business items such as the appointment/re-appointment of directors, including Shri Shivakumar Subramaniam as Chairman & Managing Director, Dr. Krishna Kant Pathak as Government Nominee Director, and Shri Rajnikant Bhuabhai Tandel as an Independent Director. Furthermore, shareholders will vote on proposed amendments to the Memorandum of Association (MoA) to align it with the Companies Act, 2013, and to enhance operational flexibility.
