Indian Oil Corporation Limited’s shareholders have approved significant amendments to the company’s Memorandum of Association (MoA) and Articles of Association (AoA) through special resolutions passed at the 67th Annual General Meeting on August 31, 2026. The MoA changes bifurcate the object clause into ‘Main Objects’ and ‘Ancillary Objects’, incorporating new business avenues such as bio-refinery, hydrogen, specialty chemicals, and digital services. Expanded Business Scope Under MoA

The amendments to the Memorandum of Association (MoA) involve a restructuring of the company’s object clause. It has been bifurcated into distinct sections for ‘Main Objects’ and ‘Ancillary Objects’. This strategic move allows IOCL to formally pursue a wider array of new business ventures, reflecting current market dynamics and future expansion plans. The updated MoA includes provisions for engaging in emerging fields such as bio-refinery operations, hydrogen and ammonia production, specialty chemicals, critical minerals trading, energy commodities, carbon markets, green certificates, data centers, digital and software services, yarns, and fertilizers. The company also aims to enhance its capabilities in project management and engineering services for projects.

In parallel, the shareholders have adopted a new set of Articles of Association (AoA).
