NHC Foods Ltd has announced key strategic decisions following its Board of Directors meeting held on August 25, 2026. The board has approved an increase in the company’s authorised share capital, escalating it from the existing ₹100 crore to ₹200 crore. This expansion will be achieved by increasing the number of equity shares from 100 crore to 200 crore, each with a face value of Re. 1.
Preferential Issue of Convertible Warrants
In a significant move to strengthen its financial standing, the company has also approved the preferential issuance of up to 25,60,00,000 Convertible Warrants. These warrants will be offered to individuals within the Non-Promoter Category. The issue price for each warrant is set at ₹2.10, determined in accordance with SEBI regulations. This issuance is subject to the approval of the company’s shareholders at the upcoming Annual General Meeting scheduled for September 23, 2026.
FCCB Conversion and Capital Restructuring
The Board acknowledged the partial conversion of 19 FCCBs, aggregating to USD 19,00,000. This conversion has resulted in the allotment of 18,18,79,020 fully paid-up equity shares at a conversion price of INR 1 per share. Consequently, the company’s paid-up equity share capital has increased to INR 94,38,06,060, represented by 94,38,06,060 equity shares of INR 1 each. A total of 240 FCCBs, with a principal amount of USD 1,00,000, remain outstanding.
Leadership Changes
In other significant developments, the Board accepted the resignation of Mr. Manoj Kumar Sharma as the Chief Financial Officer (CFO), effective August 25, 2026, due to personal reasons. Following this, the Board approved the appointment of Mr. Pradeep Agarwal as the new Chief Financial Officer, with his tenure commencing on September 01, 2026. Mr. Agarwal brings extensive experience in finance, accounting, and strategic leadership to the role.
Annual General Meeting Details
The company also announced that its 34th Annual General Meeting (AGM) will be held on September 23, 2026, at 12:30 pm. The meeting will be conducted via Video Conferencing (VC) or other Audio-Visual Means (OAVM).
