Century Plyboards (India) Limited has officially announced the date for its Forty-Fifth (45th) Annual General Meeting (AGM). The meeting is scheduled to be held on Wednesday, September 16, 2026, commencing at 11:30 AM IST. In line with prevailing regulations and to ensure broader participation, the AGM will be conducted virtually via Video Conferencing (“VC”) or Other Audio Visual Means (“OAVM”).
Agenda Highlights
The primary business to be conducted during the AGM includes the presentation, consideration, and adoption of the Company’s Audited Standalone Financial Statements and the Audited Consolidated Financial Statements for the Financial Year ended 31st March, 2026. The reports of the Board of Directors and the Auditors thereon will also be presented.
Furthermore, the members will consider and adopt the declaration of dividend on Equity Shares for the Financial Year ended 31st March, 2026. The meeting will also address the appointment of Directors, with a specific agenda item for the re-appointment of Sri Rajesh Kumar Agarwal and Sri Prem Kumar Bhajanka, who are retiring by rotation.
Special Business
Under Special Business, the re-appointment of Sri Sanjay Agarwal as CEO and Managing Director of the Company is proposed for approval. This reappointment is for a period of five years, commencing from 1st July, 2026, to 30th June, 2031, subject to shareholder approval.
The notice also includes proposed resolutions for the re-appointment of Sri Ajay Baldawa as Executive Director (Technical) and Smt. Nikita Bansal as Executive Director, both subject to shareholder approval. Additionally, a resolution for a revision in the remuneration structure for Smt. Nikita Bansal and Sri Keshav Bhajanka is proposed. The notice also covers the increase in the Company’s borrowing limits and the creation of charges on assets under Section 180(1)(c) of the Companies Act, 2013.
