In a significant corporate development, the Board of Directors of Dishman Carbogen Amcis Limited convened on August 12, 2026, and has given its approval for the issuance of Non-Convertible Debentures (NCDs). The meeting, which commenced at 10:30 a.m. and concluded at 11:10 a.m., marked a key decision in the company’s capital-raising strategy.
Details of the NCD Issuance
The company plans to issue up to 7,500 (Seven Thousand Five Hundred) Senior, Secured, Rated, Listed, Transferable, Redeemable, Taxable Non-Convertible Debentures. Each debenture will have a face value of ₹1,00,000 (Rupees One Lac only). The aggregate amount raised through this issuance will be up to ₹75,00,00,000 (Rupees Seventy-Five Crores). The NCDs will be offered on a private placement basis.
Key Terms of the Debentures
The newly approved NCDs will carry a coupon rate of 10.00% per annum, with interest payments scheduled quarterly. The principal amount will be repaid via a bullet payment on maturity, which is set for 18 months from the date of allotment. The proposed allotment date is August 17, 2026, with a maturity date of February 17, 2028. The debentures are intended to be listed on the Wholesale Debt Market Segment of the BSE Limited.
Security and Guarantee
To secure the NCDs, a charge equivalent to 1.1x of the “Security Cover” will be backed by a first-ranking and exclusive mortgage over specific non-agricultural land owned by Dishman Infrastructure Limited. Additionally, an unconditional and irrevocable corporate guarantee will be provided by Dishman Infrastructure Limited, acting as the “Corporate Guarantor,” in favor of the Debenture Trustee. A demand promissory note and a letter of continuity will also form part of the security arrangements.
