Lemon Tree Hotels: Board Approves Q1 2026 Financials, Forms Joint Venture

Lemon Tree Hotels Limited announced its unaudited standalone and consolidated financial results for the quarter ended June 30, 2026. The Board of Directors also approved the execution of a Joint Venture Agreement for the ‘Aurika Shillong’ project, where Carnation Hotels will hold a 51% stake. Additionally, Mr. Patanjali Govind Keswani’s role transition to Chairman and Non-Executive Director from April 1, 2027, was confirmed.

Unaudited Financial Results Approved

The Board of Directors of Lemon Tree Hotels Limited convened on August 7, 2026, to review and approve the unaudited standalone and consolidated financial results for the quarter ended June 30, 2026. The Limited Review Report from the company’s Statutory Auditors was also considered and approved as part of this meeting. The financial results will be made available on the company’s website.

Joint Venture for ‘Aurika Shillong’ Project

In a significant development for future growth, the Board has approved the formation of a Joint Venture (JV) through a Joint Venture Agreement (JVA) between its wholly-owned subsidiary, Carnation Hotels Private Limited, and RJ Corp Limited. This JV is established as a Special Purpose Vehicle (SPV) named Arum Hotels Private Limited, specifically for the development and execution of the ‘Aurika Shillong’ project. Under the terms of the JVA, Carnation Hotels will hold 51% of the equity share capital in Arum Hotels, while RJ Corp will hold the remaining 49%.

Leadership Transition Confirmed

The Board also approved the appointment of Mr. Patanjali Govind Keswani (DIN: 00002974) as the Chairman and Non-Executive Director, effective from April 1, 2027. This transition follows his current tenure as Chairman and Executive Director, which concludes on March 31, 2027. This appointment is subject to shareholder approval and aims to facilitate a comprehensive succession plan and ensure leadership continuity.

Trading Window Update

In compliance with SEBI (Prohibition of Insider Trading) Regulations, 2015, the trading window for all directors, promoters, connected persons, and designated persons of the Company will reopen 48 hours after the declaration of the financial results for the quarter ended June 30, 2026.
