Subros: Nominee Director Change on Aug 7, 2026

Subros Limited announced a change in its Nominee Director. Mr. Tomoaki Yoshimori resigned as Nominee Director, effective August 7, 2026, due to a nomination change by M/s DENSO Corporation, Japan. Concurrently, Mr. Akihiro Deguchi has been appointed as the new Nominee Director, also effective August 7, 2026, following the recommendation of the Nomination and Remuneration Committee and subject to shareholder approval.

Subros Limited has officially notified of a change in its board composition concerning a nominee director. Mr. Tomoaki Yoshimori, who was serving as a Nominee Director, has submitted his resignation. This resignation is effective from August 7, 2026, and is attributed to a change in nomination by M/s DENSO Corporation, Japan, a key stakeholder.

New Nominee Director Appointed

In light of Mr. Yoshimori’s resignation, the Board of Directors of Subros Limited has approved the appointment of Mr. Akihiro Deguchi as the new Nominee Director. This appointment is also effective from August 7, 2026. The decision was made based on the recommendation of the Nomination and Remuneration Committee and is subject to the approval of the shareholders at the upcoming Annual General Meeting (AGM). Mr. Deguchi will represent the interests of M/s DENSO Corporation, Japan.

Director Profile and Background

Mr. Akihiro Deguchi brings a wealth of experience in the Heat Exchangers sector. He is a graduate from the Institute of Technology, Japan, and has extensive specialized knowledge in Heat Exchangers for Air-conditioning systems. Mr. Deguchi began his career with DENSO Corporation, Japan, in 1992 and has held several significant positions, including Vice President of Denso (Tianjin) Thermal Products Co. Ltd. and Head of Production Engineering and Production Planning Department. Recently, he joined DENSO Kirloskar Industries Private Limited, India, as Deputy Managing Director. He is not debarred from holding directorships by any SEBI order or other authority.
