Zydus Lifesciences announces the dissolution of its wholly-owned subsidiary, Auroralux S.A.S., based in Luxembourg, effective December 31, 2025. The dissolution, which did not involve liquidation, has resulted in the transfer of Auroralux’s assets and liabilities, including its investments in Amplitude Surgical S.A.S., to Zydus MedTech (France) S.A.S. Amplitude Surgical S.A.S. is now a wholly owned subsidiary of Zydus MedTech (France) S.A.S.
Subsidiary Dissolution
Zydus Lifesciences has officially announced the dissolution of Auroralux S.A.S., its Luxembourg-based wholly owned subsidiary. The effective date of this dissolution was December 31, 2025. The company has stated that the dissolution process did not involve liquidation.
Asset Transfer and Impact
As a result of the dissolution, all assets and liabilities previously held by Auroralux S.A.S. have been transferred. This includes its investments in Amplitude Surgical S.A.S. The recipient of these assets and liabilities is Zydus MedTech (France) S.A.S.
Amplitude Surgical S.A.S. Status
Following this transfer, Amplitude Surgical S.A.S. has become a wholly owned subsidiary of Zydus MedTech (France) S.A.S. The company clarified that the dissolution of Auroralux S.A.S. is not expected to have any impact on the operational activities of Zydus Lifesciences.
