ZF Commercial Vehicle Board Restructuring and Committee Revisions Announced

ZF Commercial Vehicle has announced revisions to its board committees, effective November 5, 2025. Key changes include appointments to the Audit Committee, Nomination & Remuneration Committee, Stakeholders Relationship Committee, Corporate Social Responsibility Committee, and Risk Management Committee. These changes reflect ongoing efforts to optimize board structure and governance.

Audit Committee Composition

The Audit Committee has been reconstituted, with Mr. Mahesh Chhabria remaining as Chairman (Independent Director). Ms. Amrita Verma Chowdhury continues as a member (Independent Director), while Dr. Orlik Lars (Non-Executive Director) joins the committee.

Nomination & Remuneration Committee Changes

The Nomination & Remuneration Committee now has Mr. Neeraj Sagar (Independent Director) as its Chairman, replacing Ms. Amrita Verma Chowdhury. Other members include Mr. Mahesh Chhabria (Independent Director) and Mr. Akash Passey (Non-Executive Director).

Stakeholders Relationship Committee Update

The Stakeholders Relationship Committee will now be chaired by Ms. Amrita Verma Chowdhury (Independent Director). Ms. Rashmi Urdhwareshe (Independent Director), Mr. Paramjit Singh Chadha (Managing Director), and Mr. Neeraj Sagar (Independent Director) also serve on the committee.

Corporate Social Responsibility Committee

The Corporate Social Responsibility Committee continues to be chaired by Mr. Paramjit Singh Chadha (Managing Director). Ms. Rashmi Urdhwareshe (Independent Director) and Mr. Neeraj Sagar (Independent Director) remain as members.

Risk Management Committee

The Risk Management Committee will now be chaired by Ms. Rashmi Urdhwareshe (Independent Director). Other members include Mr. Mahesh Chhabria (Independent Director), Mr. Paramjit Singh Chadha (Managing Director), Mr. Akash Passey (Non-Executive Director), Ms. Sweta Agarwal (CFO), and Mr. A Ganesamoorthy (Head R&D).

Clarification on Acronym

A previous communication contained a typographical error regarding the acronym “NED.” It should be clarified that “NED” refers to Non-Executive Director.
