Transaction Details

  • The Company will acquire 4,500 equity shares of Rs. 10 each, representing 45% of the total paid-up equity capital.
  • The total acquisition cost is Rs. 45,000/-, payable in cash consideration (Rs. 10 per share).
  • The acquisition is deemed a related party transaction but will be executed on an arms’ length basis.
  • The indicative time period for completion is set for March 31, 2026.

Strategic Rationale and Impact

The acquisition is strategic, intending to position WCSL as a centralized umbrella entity providing integrated corporate services across the Welspun Group. These services include Human Resources, legal, taxation, corporate restructuring, and strategic advisory. Following this purchase, WCSL will become an associate company of Welspun Corp Limited. A joint shareholders’ agreement will simultaneously be executed with other Welspun Group entities.

Modification of Renewable Energy Arrangement

In a separate key decision, the Board approved a modification concerning the supply of 42 MW Renewable Energy (RE) to the Anjar facility. Furthering an announcement made on May 30, 2024, the payment approved for securing the transmission rights has been increased.

The revised payment to Welspun Living Limited is now Rs. 75 Crores, an increase from the previously approved amount of Rs. 35 Crores. The Board meeting commenced at 5:30 pm and concluded at 6:50 pm on the announcement date.
