Amalgamation Approval
The Board of Directors at Vijaya Diagnostic Centre has approved the amalgamation of Medinova Diagnostic Services Limited, effective November 04, 2025. The decision was made during a board meeting held on the same day.
Key Changes and Dates
Effective Date: The amalgamation’s effective date is set for November 04, 2025. This marks the date when the certified true copy of the order is filed with the Registrar of Companies, Hyderabad.
On the effective date, Medinova Diagnostic Services Limited will be automatically dissolved without winding-up. All directors, key managerial personnel, and statutory auditors of Medinova will vacate their positions.
Appointed Date: The appointed date as per the Scheme is April 01, 2024.
Share Exchange Ratio
The share exchange ratio for the amalgamation is as follows: For every 22 equity shares of face value of INR 10 each fully paid in Medinova, shareholders will receive 1 equity share of face value of INR 1 in Vijaya Diagnostic Centre.
The record date for determining shareholders eligible for the share issuance is November 25, 2025.
Capital Restructuring
Following the amalgamation, the authorized share capital of Vijaya Diagnostic Centre will increase to INR 230,500,000, divided into 230,500,000 equity shares of face value INR 1 each.
Subsidiary Update
Medinova Millennium MRI Services LLP will become a wholly-owned subsidiary of Vijaya Diagnostic Centre, effective November 04, 2025. All assets and liabilities of Medinova will transfer to Vijaya.
