Key Terms of the Agreement
A facility agreement dated December 30, 2025, has been established wherein Twin Star Holdings Limited will borrow up to USD 80 million for the purpose of repaying existing debt and covering associated expenses.
The funds from this agreement will be used for:
- Repayment of, and payment of interest and other amounts accrued on the Intercompany loan availed by Twin Star Holding Limited from VRL Group companies.
- Payment of any interest, fees, costs and expenses incurred in connection with the transactions contemplated under the Finance Documents.
Restrictions on Vedanta Limited
Vedanta Limited is not a direct party to the facility agreement. However, certain restrictions are imposed on Vedanta Limited as a member of the promoter group. These include ensuring no proceeds from the facility are routed to India and restrictions on amending constitutional documents in ways that could adversely affect the lenders.
