Thriveni Earthmovers Private Limited has formally disclosed a substantial acquisition of equity shares in Lloyds Engineering Works Limited, the Target Company (TC). The filing was made under the Securities and Exchange Board of India (Substantial Acquisition of Shares and Takeovers) Regulations, 2011.
Details of the Transaction
The acquisition involved the purchase of 10,57,40,181 Equity Shares. This transaction was executed through a “Block Deal” on February 9, 2026. The price per share was set at Rs. 49.65, resulting in a total consideration of Rs. 524,99,99,986.65 (Five Hundred Twenty-Four Crore, Ninety-Nine Lakhs, Ninety-Nine Thousand, Nine Hundred Eighty-Six Rupees and Sixty-Five paise).
This purchase results in Thriveni Earthmovers Private Limited, along with its Persons Acting in Concert (PACs), acquiring a 7.14% interest in the total share/voting capital of Lloyds Engineering Works Limited.
Holding Before and After Acquisition
Prior to this transaction, Thriveni Earthmovers held 2,82,20,000 shares, representing 1.91% of the voting capital. Following the acquisition of 10,57,40,181 shares, the total holding along with PACs has increased substantially.
After the acquisition, the total holding by Thriveni Earthmovers Private Limited and its PACs in shares carrying voting rights is 13,39,60,181, which translates to 9.05% of the total equity share capital. The total diluted share/voting capital post-acquisition is calculated at 148,49,97,782 shares.
