Tata Motors: Board Announces Director Changes and New Appointments

Tata Motors has announced key changes to its Board of Directors, including the cessation of three independent directors and the appointment of Ms. Sudha Krishnan as an additional independent director. Mr. Girish Wagh has resigned as Executive Director, while Mr. Shailesh Chandra has been appointed as Managing Director & CEO, effective October 1, 2025. Further leadership changes at the CFO level are slated for November 17, 2025.

Independent Directors Transition

Three Non-Executive Independent Directors are stepping down from the board: Ms. Hanne Sorensen (effective September 30, 2025), and Mr. Kosaraju Veerayya Chowdary and Mr. Guenter Karl Butschek (both effective October 1, 2025). Ms. Sorensen will remain a director at Jaguar Land Rover Automotive Plc. Messrs. Chowdary and Butschek will join the board of TML Commercial Vehicles Limited following the demerger.

New Independent Director Appointed

Ms. Sudha Krishnan has been appointed as an Additional, Non-Executive Independent Director for a 5-year term starting October 1, 2025, subject to shareholder approval.

KMP Leadership Changes

Mr. Girish Wagh has resigned as Executive Director and KMP, effective October 1, 2025. He will join TML Commercial Vehicles Limited as an Additional Director, Managing Director & CEO.

Mr. Shailesh Chandra has been appointed as an Additional Director, Managing Director & CEO, and KMP, effective October 1, 2025, for a 3-year term, subject to shareholder approval.

CFO Transitions

Mr. P B Balaji has resigned as Group Chief Financial Officer & KMP, effective November 17, 2025, and will assume the role of Chief Executive Officer of Jaguar Land Rover Automotive Plc, UK. Mr. Dhiman Gupta has been appointed as the Chief Financial Officer & KMP, effective November 17, 2025.

Additional Director Appointment

Mr. P B Balaji will be appointed as an Additional, Non-Executive, Non-Independent Director effective November 17, 2025, subject to shareholder approval.

NCD Transfer Details

Tata Motors is transferring specified Non-Convertible Debentures (NCDs) to TML Commercial Vehicles Limited pursuant to the approved scheme. This includes a total amount of ₹2,300 crore in NCDs across different series with varying redemption dates.
