Changes in Board Composition

There have been several changes to the board:

  • Resignation: Mr. Yusuke Hara resigned as Nominee Director, effective January 30, 2026, due to a change in nomination by M/s DENSO Corporation, Japan. Dr. Yasuhiro lida, Alternate Director to Mr. Yusuke Hara, also vacated his office.
  • Appointment: Mr. Naohisa Kuriyama was appointed as Nominee Director of M/s DENSO Corporation, Japan, effective January 30, 2026, subject to shareholder approval. Mr. Tsunenobu Hori was appointed as an Alternate Director to Mr. Naohisa Kuriyama, also subject to shareholder approval.

Mr. Naohisa Kuriyama is the Head of Thermal Management Systems Business Unit at DENSO Corporation, Japan. Mr. Tsunenobu Hori is the CEO of DENSO India Region companies.

Capacity Expansion in Karsanpura, Gujarat

The Board approved capacity additions at the Karsanpura, Gujarat manufacturing unit:

  • Electric Compressors: A proposed capacity addition of 400,000 units per year, expected to be completed within 21 months, with an investment of Rs. 175 crores.
  • ICE Compressors: A proposed capacity addition of 500,000 units per year, expected to be completed within 24 months, with an investment of Rs. 90 crores.

The unaudited standalone financial results reveal the following figures for the quarter ended December 31, 2025:

  • Revenue from operations: ₹947.68 million
  • Total Income: ₹953.43 million
  • Profit before tax: ₹44.67 million

  • Revenue from operations: ₹2,705.76 million
  • Total Income: ₹2,736.71 million
