POWERGRID Acquisition of Bellary Davanagere Power Transmission Limited via TBCB Route

POWERGRID has successfully acquired Bellary Davanagere Power Transmission Limited (BDPTL) on February 12, 2026. The acquisition was finalized after POWERGRID emerged as the successful bidder under the Tariff Based Competitive Bidding (TBCB) route. BDPTL is tasked with establishing a transmission system in Karnataka. The total acquisition cost was approximately Rs. 13.02 Crore, securing 100% control over the Special Purpose Vehicle.

Successful Bid for New Transmission Asset

Power Grid Corporation of India Limited (POWERGRID) officially announced the acquisition of Bellary Davanagere Power Transmission Limited (BDPTL) on February 12, 2026. This acquisition was executed following POWERGRID’s selection as the successful bidder through the Tariff Based Competitive Bidding (TBCB) mechanism.

BDPTL is the Project Special Purpose Vehicle (SPV) established to execute the “Transmission system strengthening for integration of additional RE potential at Davanagere (0.25 GW) and Bellary (2.75 GW)” on a build, own, operate and transfer (BOOT) basis.

Project Scope Details

The project scope involves establishing a substantial infrastructure network in the state of Karnataka. This includes constructing a 400 kV D/c Transmission Line, associated line bays at both ends, and necessary augmentation works (ICTs and Line Bays) at the Davangere and Bellary Pooling Stations.

Acquisition Details and Cost

POWERGRID has acquired 100% shareholding and control of BDPTL. The acquisition was formalized by securing 50,000 equity shares at par (Rs. 10/- each) along with all assets and liabilities of BDPTL as of the acquisition date.

  • Note on Price: The final acquisition price is subject to adjustment based on the audited accounts of the Company as on the acquisition date.

Target Entity Background

BDPTL belongs to the Power Transmission industry, aligning perfectly with the core business of POWERGRID. The entity was incorporated on September 25, 2025, by the Bid Process Coordinator. As BDPTL is yet to commence commercial operations, no turnover figures have been recorded for the last three years. The acquired entity is planned to operate within India.

Regulatory and Interest Disclosure

Prior to the acquisition, POWERGRID confirmed it held no prior interest in BDPTL, ensuring the transaction was not a related party transaction.

Approvals for the competitive bidding process were obtained from the Ministry of Power (MoP). Subsequently, approvals for the Grant of Transmission License and Adoption of Transmission Charges are to be secured from the Central Electricity Regulatory Commission by BDPTL post-acquisition.
