The allotment, made on December 05, 2025, was executed through private placement. These NCDs have a tenure up to June 05, 2028 and offer a coupon rate of 7.28% per annum.

On December 05, 2025, PNB Housing Finance’s Management Committee for allotment of NCDs approved the allotment of Listed, Secured, Rated, Taxable, Redeemable Non-Convertible Debentures. This issuance involves 24,500 NCDs, each with a face value of ₹1,00,000, resulting in a total aggregate value of ₹245 Crore.

Key Terms of the NCDs

The NCDs, identified as 7.28% PNB Housing Finance Limited 2028 Series LXXII, are listed on the Wholesale Debt Market (WDM) segment of the National Stock Exchange of India Ltd. (“NSE”). The tenure of these instruments is 2 Years and 6 Months, maturing on June 05, 2028. Interest is scheduled to be paid on June 05, 2026, June 07, 2027, and June 05, 2028. The principal will be repaid on June 05, 2028.

Security and Default Provisions

These NCDs carry an exclusive charge on the specific book debts of the company. In case of default in payment of interest and/or the redemption amount, an additional interest of 2% p.a. over and above the coupon rate shall be payable by the company for the defaulting period.
