One 97 Communications Board Approves Financial Results, Director Transition, and PPSL Leadership

One 97 Communications’ Board approved the unaudited financial results for Q3 2026. Mrs. Pallavi Shardul Shroff will conclude her term as an Independent Director on February 8, 2026. Vijay Shekhar Sharma has been appointed as the Managing Director of Paytm Payment Services Limited (PPSL), effective January 29, 2026, while continuing his role at One 97. Additionally, Little Internet Private Limited’s conversion of debentures will be completed in FY 2026-27.

Director Transition

Mrs. Pallavi Shardul Shroff, an Independent Director, is set to complete her second consecutive term on February 8, 2026. As a result, she will cease to be a Director and a member of the Audit Committee and Nomination & Remuneration Committee from that date. Leadership Appointment at PPSL

To reinforce leadership in merchant payments, Mr. Vijay Shekhar Sharma, Chairman, Managing Director, and CEO of One 97 Communications, has been appointed as the Managing Director (designated as MD & CEO) of Paytm Payment Services Limited (PPSL). This appointment is effective from January 29, 2026, for a term of five years, subject to applicable approvals. He will continue to draw remuneration only from One 97 Communications.

Subsidiary Update

The company plans to complete the conversion of outstanding Optionally Convertible Debentures and Convertible Inter Corporate Deposits in Little Internet Private Limited, a subsidiary, during the fiscal year 2026-27.
