The members of Paradeep Phosphates Limited have approved the alteration of the Object Clause and the adoption of an amended Memorandum of Association. This decision was formalized through a special resolution passed via postal ballot on February 02, 2026.
Key Changes to Object Clause
The amendment includes changes to Clause III(A), now titled ‘THE OBJECTS TO BE PURSUED BY THE COMPANY ON ITS INCORPORATION’. A new sub-clause (iv) has been added to Clause III(A), allowing the company to:
“generate, receive, purchase, transmit, transform, distribute, supply, exchange, sell and otherwise deal in electrical power and energy from conventional and non-conventional sources including but not limited to waste heat recovery systems, and to supply and/or transfer surplus power to State utilities, open market buyers, and any other eligible consumers in accordance with applicable laws and regulations.”
Further Amendments
Clause III B has been retitled as ‘Matters which are necessary for furtherance of the object specified in Clause III. A’. Additionally, the previous Clause III C, titled ‘Other objects’, has been removed entirely.
