Nazara Technologies Board Approves INR 15 Crore Investment in Rusk Media

Nazara Technologies’ board has approved an investment of up to INR 15 Crores into Rusk Media Private Limited via Pre Series C Compulsorily Convertible Preference Shares, pending regulatory approvals. Additionally, USD 500,000 investment in nCore Games, Inc. was approved. Unaudited consolidated financial results for Q3 FY26 were also approved.

Rusk Media Investment

Nazara Technologies has received in-principle approval from its board to invest up to INR 15 Crores in Rusk Media Private Limited (RMPL). The investment will be made through subscription to Pre Series C Compulsorily Convertible Preference Shares, contingent on compliance with applicable regulations and necessary approvals.

Investment in nCore Games, Inc.

The board has granted in-principle approval for Nazara Technologies FZ LLC, a wholly-owned subsidiary, to invest USD 500,000 in nCore Games, Inc., a Delaware corporation. This investment will be facilitated through a Convertible Promissory Note and is subject to compliance with applicable laws and receipt of required approvals.

Q3 FY26 Financial Results Approved

The board of directors approved the unaudited financial results (consolidated and standalone) for Q3 FY26, ending December 31, 2025. The limited review reports issued by the statutory auditors on these financial results were also noted.

Consolidated Financial Highlights

The unaudited consolidated financial results for Q3 FY26 show total income of INR 417.31 million and a profit after tax of INR 8.84 million.

Impairment Loss

The recognition of an impairment loss of INR 914.70 million on investment in one of the associate company due to prohibition in offering of online money games.

Standalone Financial Highlights

The unaudited standalone financial results show total income of INR 325.9 million with total loss of INR 4.6 million for Q3 FY26.

The meeting of the Board of Directors commenced at 3:35 p.m. and concluded at 4:05 p.m.
