The company confirmed that these articles relate to an already disclosed arrangement finalized on March 28, 2025. NVDSHPL has executed a Business Transfer Agreement (BTA) for the transition of the Hospital to the Shri Mata Vaishno Devi Charitable Society, effective April 1, 2026.
Clarification on Recent Media Coverage
Narayana Hrudayalaya Limited issued a clarification regarding news articles published on March 26 and March 27, 2026, concerning the governing body review and future planning for the hospital facilities in Katra.
The company confirms that the news reports pertain to the implementation of an arrangement that was already disclosed to the Stock Exchanges on March 28, 2025. This prior disclosure involved the execution of an agreement between its wholly owned subsidiary, Narayana Vaishno Devi Specialty Hospitals Private Limited (NVDSHPL), and the Shri Mata Vaishno Devi Charitable Society.
Details of the Transition Agreement
Further to the initial disclosure, NVDSHPL has now executed a definitive Business Transfer Agreement (BTA) with the Shri Mata Vaishno Devi Charitable Society. This BTA formalizes the transition of the Hospital operations to the Society, which is set to take effect from April 1, 2026.
Under the terms of the executed BTA, NVDSHPL will retain only a supervisory oversight role up to 2033. The company stated that the implementation of this already disclosed arrangement does not constitute a new material event.
