Scheme of Arrangement Approved
Meetings for the approval of the Scheme of Arrangement involving Meridian Medical Research & Hospital Ltd. and Narayana Hrudayalaya Limited were successfully convened on January 19, 2026. The Scheme received the necessary approvals from various classes of creditors and shareholders. These meetings were conducted via video conferencing, as per the directives issued by the National Company Law Tribunal (NCLT), Bengaluru Bench.
Voting Results
The voting results for each class are as follows:
Equity Shareholders
Out of 226,681 equity shareholders, the resolution was approved with 16,23,30,045 votes in favor, representing 100% of valid votes. A detailed report from the scrutinizer has been submitted to the stock exchanges.
Secured Creditors
Three Secured Creditors cast 4,61,20,00,000 votes, with 100% in favor of the resolution, showing full support among this creditor class.
Unsecured Loan Creditors
The resolution saw unanimous support from the Unsecured Loan Creditors, with 11 Unsecured Loan Creditors casting 67,500 votes in favor (100%).
Unsecured Trade Creditors
The resolution was approved by the Unsecured Trade Creditors as well. 16 Unsecured Trade Creditors casting 85,08,22,715 votes, representing 100% support among the Unsecured Trade Creditors.
