Mphasis Grants Stock Options and Restricted Stock Units to Employees

Mphasis has granted 25,000 stock options and 7,500 restricted stock units (RSUs) to its employees and subsidiaries, effective November 5, 2025. The stock options have an exercise price of ₹2,700 per option, while the RSUs have an exercise price of ₹10 per RSU. Both options and RSUs vest over 5 years. This move aims to incentivize employees and align their interests with the company’s growth.

Stock Option Grant Details

Mphasis has approved the grant of 25,000 stock options under the Employee Stock Option Plan 2016 (ESOP 2016), effective November 5, 2025. Key details include:

  • Exercise Price: ₹2,700 per Option
  • Vesting Period: Vests over 5 years in equal proportion.
  • Exercise Period: Exercisable within 60 months from the respective date of vesting.

The shares from the stock options will be managed through the Mphasis Employees Equity Reward Trust.

Restricted Stock Unit (RSU) Grant Details

The company also approved the grant of 7,500 RSUs under the Restricted Stock Units Plan 2021 (RSU Plan 2021), effective November 5, 2025. Key details include:

  • Exercise Price: ₹10 per RSU
  • Vesting Period: Vests over 5 years from the grant date, with a distribution of 10:10:20:30:30.
  • Exercise Period: Shares arising out of vested units shall be settled by the Mphasis Employees Benefit Trust.

The RSU plan includes provisions for Automatic Exercise, particularly for employees in the USA subject to U.S. Internal Revenue Code provisions. Other grantees can choose between Automatic Exercise and exercising via notice. The exercise period is 60 calendar months from vesting for those not opting for Automatic Exercise.
