However, the final pronouncement date for the Tribunal’s final Order has not yet been scheduled or uploaded by the NCLT.
Amalgamation Scheme Progress Update
Lumax Auto Technologies Limited (the “Transferee Company”) is providing an update concerning the Scheme of Arrangement involving the amalgamation of Lumax Ancillary Limited (the “Transferor Company”). This corporate restructuring is being undertaken pursuant to Sections 230 to 232 of the Companies Act, 2013.
The key development occurred on February 18, 2026, when the Hon’ble National Company Law Tribunal (NCLT), New Delhi Bench, took action on the required legal step. The NCLT has now allowed/reserved the Second Motion petition related to the Scheme.
Status of Final Order
While the Second Motion has been allowed/reserved, the company confirms that the pronouncement date for the final Order has not yet been listed by the Hon’ble NCLT.
Furthermore, the official copy of the Order passed by the NCLT has not yet been uploaded to the NCLT’s official website.
