Details of the Allotment

The shares were issued at ₹1460.50 each, including a premium of ₹1459.50 per share. This issuance has resulted in a total inflow of ₹2,85,88,67,409 for the company.

Purpose of the Allotment

This preferential allotment facilitates the acquisition of a 49% shareholding in Thriveni Pellets Private Limited (TPPL). The shares were allotted to Adler Industrial Services Private Limited, a promoter shareholder of TPPL. The acquisition will be completed through an equity swap, enhancing Lloyds Metals’ stake in TPPL.

Capital Structure Adjustment

Following the allotment, the company’s equity capital has increased to ₹52,84,05,690. This adjustment reflects the issuance of new shares, solidifying the financial restructuring linked to the TPPL acquisition.

TPPL Acquisition Details

Lloyds Metals has acquired 88,24,900 shares, representing 49% of TPPL from AISPL, and an additional 1,78,299 shares (0.99%) from Thriveni Earthmovers Private Limited. These acquisitions will consolidate TPPL’s operations under Lloyds Metals.

Investor Details

The investor in this preferential allotment is Adler Industrial Services Private Limited. They have been allotted 19,57,458 shares, increasing their total stake in Lloyds Metals to 35,77,458 shares (0.68% of total shares outstanding post-issuance).
