Mr. Shubhakar, currently serving as the Whole-time Director, designated as Chief Financial Officer & Company Secretary, will have his term extended.

The existing term for Mr. Shubhakar concludes on March 6, 2026. The board has approved his re-appointment and extension for a further period of two years, commencing on March 7, 2026, and concluding on March 6, 2028. Shareholder approval will be sought subsequently via postal ballot as required by regulations.

Profile of Mr. P. R. Shubhakar

Mr. Shubhakar is approximately 60 years old and is a qualified Chartered Accountant and Company Secretary, holding a Bachelor of Commerce degree from Bangalore University. He joined the Company in August 2000 and possesses over 25 years’ service with the organization. His extensive experience covers General & Financial Management, Controllership, Financial Planning & Reporting, Taxation, Banking, Treasury, and Risk Management. He will continue in his roles as Company Secretary & Compliance Officer.

Compliance and Shareholding Information

It was confirmed that Mr. Shubhakar holds 100 Equity Shares in the Company. Furthermore, he is not disqualified from continuing as a Director under Section 164 of the Companies Act, 2013, and is not currently debarred by any SEBI order or other authority.
