Info Edge (India) Limited Board Approves Up to ₹250 Crore Contribution to B8 Fund I

Info Edge (India) Limited announced its Board has approved committing up to ₹250 crore in aggregate to B8 Fund I, a new Category II Alternative Investment Fund (AIF) scheme launched by B8 Trust. Smartweb Internet Services Ltd., a wholly-owned subsidiary, will serve as the Sponsor and Investment Manager. This strategic move aligns with the Company’s external financial investments focused on value creation within the Indian entrepreneurial ecosystem.

Board Decision on Alternative Investment Fund

The Board of Directors of Info Edge (India) Limited, following a meeting held on February 26, 2026, has sanctioned entering into a Contribution Agreement. This agreement commits the Company, directly or via wholly-owned subsidiaries, to contribute up to Rs. 250 crore to B8 Fund I.

B8 Fund I is a specific scheme launched by B8 Trust, which is registered with SEBI as a Category II Alternative Investment Fund under the 2012 Regulations. The actual drawdown of committed funds will occur over the scheme’s lifetime, dependent on investment opportunities and market conditions.

Key Transaction Details

The total aggregate value of the transactions is capped at Rs. 250 Crores, to be provided via Cash Consideration.

  • Acquired Entity: Units of the B8 Fund I Scheme.
  • Objective: To generate long-term growth for contributors by investing in growth-stage, tech-enabled companies primarily focused in India.
  • Scheme Launch Date: February 12, 2026.
  • Scheme Life: The Fund’s initial life is set for 8 years from the first closing, potentially extendable by 2 years.

Related Party Consideration

It is noted that Smartweb Internet Services Ltd., a wholly-owned subsidiary, will act as the Sponsor and Investment Manager of the Fund. Consequently, upon entering the investment management agreement, the Fund and its Schemes will be regarded as a related party transaction(s) under applicable regulations.

The Company affirms that its Promoter/Promoter Group/Group Companies hold no interest in this specific investment. The transaction has been conducted on an Arm’s Length basis.

Background of the Fund

B8 Fund I operates under a structure where the Company acquires units at face value. Since the Trust and its Scheme were incorporated and launched in FY26, historical turnover and net worth details prior to March 31, 2025, are reported as NA (Not Applicable).
