The unsecured creditors of India Cements have approved the scheme of amalgamation between ICL Financial Services Limited, ICL International Limited, ICL Securities Limited, India Cements Infrastructures Limited, and India Cements Limited. The approval was granted at a meeting held on September 27, 2025, following the directions of the National Company Law Tribunal (NCLT), Chennai.

India Cements has received approval from its unsecured creditors for the amalgamation of several entities. The meeting, conducted via video conference on September 27, 2025, saw the resolution pass with the required majority.

The approval pertains to the scheme of amalgamation involving ICL Financial Services Limited, ICL International Limited, ICL Securities Limited, and India Cements Infrastructures Limited with The India Cements Limited. Voting was conducted through remote e-voting and e-voting facilities. The scrutinizer’s report confirmed that the resolution was duly approved. A total of 72 unsecured creditors voted in favor of the resolution, representing 100% of the votes cast. The total value of valid votes cast in favor was 421,77,08,163.
