HLV Limited Q2 Financial Results, Leadership Changes Announced

HLV Limited announced its unaudited financial results for the second quarter ended September 30, 2025. The board approved the results and also accepted the resignation of Company Secretary Savitri Yadav, effective November 30, 2025. Sucheta Chaturvedi has been appointed as the new Company Secretary and Compliance Officer, starting December 1, 2025.

HLV Limited reported its unaudited financial results for the second quarter of fiscal year 2025, ending on September 30, 2025. Key financial figures include:

  • Total income: ₹3,892 lakhs
  • Total expenses: ₹4,772 lakhs
  • Loss before tax: ₹(992) lakhs
  • Net loss for the period: ₹(992) lakhs

Earnings per share (basic and diluted) stood at ₹(0.15).

Leadership Transition

The Board of Directors has accepted the resignation of Ms. Savitri Yadav from the position of Company Secretary and Compliance Officer, effective November 30, 2025.

New Appointment

Ms. Sucheta Chaturvedi has been appointed as the new Company Secretary and Compliance Officer, effective December 1, 2025. Ms. Chaturvedi is a qualified Company Secretary with over 7 years of post-qualification experience in company secretarial functions.

Contingent Liabilities and Disputes

The financial results are prepared on a ‘going concern basis’ based on the assumption that the company will get favorable judgments and settlements in respect of disputes with AAI, including the renewal of lease and continuing the business.

The Company has significant disputes with the Airport Authority of India (AAI). These include:

  • Arbitrary increases to lease rent payable for the Mumbai hotel (₹543 lakhs for the quarter).
  • Demands made by AAI relating to Rent, Minimum Guarantee Fees as royalty in respect of lease of 11000 sq. mtrs of land in Mumbai (₹80,705 lakhs).
  • Settlement discussions are ongoing with the Settlement Advisory Committee constituted by AAI.
