Hindustan Zinc Board Approves Issuance of ₹1,400 Crore Non-Convertible Debentures

Hindustan Zinc’s Committee of Directors has approved the issuance of unsecured, redeemable, rated, listed, non-convertible debentures (NCDs) aggregating up to ₹1,400 Crore. These NCDs will be issued in two parts: ₹420 Crore (STRPP 1) and ₹980 Crore (STRPP 2). The issuance is based on a private placement basis.

Debenture Issuance Approved

The Committee of Directors has given the green light for the issuance of non-convertible debentures (NCDs) totaling up to ₹1,400 Crore. This decision was made at a meeting held on January 23, 2026.

Details of the NCDs

The issuance will consist of unsecured, redeemable, rated, and listed NCDs. The total amount of ₹1,400 Crore will be divided into two separately transferable and redeemable principal parts:

  • STRPP 1: Up to ₹420 Crore
  • STRPP 2: Up to ₹980 Crore

The cumulative principal amount of both STRPPs will not exceed ₹1,400 Crore.

Issuance Type and Volume

The issuance will be conducted on a private placement basis. A total of 140,000 non-convertible debentures are proposed, comprising:

  • Up to 42,000 non-convertible debentures as STRPP 1
  • Up to 98,000 non-convertible debentures as STRPP 2

Key Details of the Issuance

The NCDs are proposed to be listed on the BSE. Further specifics such as the tenure, allotment date, maturity date, coupon/interest offered, payment schedule, and redemption details will be disclosed in the disclosure documents.
