Hexaware Technologies announced significant changes to its Board of Directors and Senior Management effective February 23, 2026. Mr. Alok Chandra Misra was appointed as a Non-Executive Independent Additional Director for three years. Conversely, Mr. Vivek Sharma resigned as an Independent Director due to professional commitments. Additionally, Mr. Shantanu Baruah received an expanded role within the management structure concerning North America operations.
Board Composition Changes Announced
Hexaware Technologies informed the stock exchanges regarding key alterations in the composition of its Board of Directors, effective February 23, 2026. These changes were executed in compliance with relevant corporate governance requirements.
Appointment of New Independent Director
The Board approved the appointment of Mr. Alok Chandra Misra (DIN: 01542028) as an Additional Director, serving in the capacity of a Non-Executive Independent Director. This appointment is for a term of 3 years, commencing immediately and concluding on February 22, 2029, subject to shareholder approval. Mr. Misra brings extensive experience, having recently co-founded Guvrn, an Indian board network, and previously served as Operating Partner at General Atlantic.
Resignation of Independent Director
The Board accepted the resignation of Mr. Vivek Sharma (DIN: 10741746) as an Independent Director, effective at the close of business hours on February 23, 2026. The stated reason for his departure is other professional commitments. Consequently, Mr. Sharma also stepped down from his membership in the Stakeholders Relationship Committee and the Corporate Social Responsibility Committee.
Reconstitution of Board Committees
Following the changes in directorship, the Board approved the reconstitution of several committees with the inclusion of Mr. Alok Chandra Misra as a member:
- Audit Committee
- Nomination & Remuneration Committee
- Risk Management Committee
- Environmental, Social & Governance Committee
- Cybersecurity Committee (a sub-committee of the Audit Committee)

Senior Management Role Expansion
In a separate management announcement, the Board approved an expansion of responsibilities for a key executive. Mr. Shantanu Baruah, currently President & Global Head – Healthcare & Insurance (H&I) Vertical, has been given the additional role of North America – Hunting Head, effective February 23, 2026.
Mr. Baruah has over 25 years of experience in the healthcare and life sciences sector, previously serving as Executive Vice President at HCL Tech, where he managed the North America Healthcare business. This change is intended to bolster the company’s leadership in the North American market segment.
