Hexaware Board Approves Acquisition, Merger, and Q3 CY25 Results

Hexaware’s board has approved the acquisition of CyberSolve, merger of subsidiaries, and Q3 CY25 financial results. Revenue reached USD 394.8 Mn, up 5.5% YoY, with EBITDA expansion of 154 bps YoY. Basic EPS rose to INR 6.09, a 22.3% YoY increase. The company is enhancing its cybersecurity capabilities and streamlining its group structure.

Acquisition of CyberSolve

Hexaware has officially approved the acquisition of 100% stake in CyberSolve (I) Private Limited from Identity And Access Solutions LLC. This acquisition is subject to mutually agreed terms and conditions between the parties. A share purchase agreement was executed with Identity And Access Solutions LLC (“IAAS”) on November 06, 2025. Hexaware is set to strengthen its Al-led Cybersecurity Capabilities.

Merger of Subsidiaries

The Board of Directors has approved in principle the merger of several wholly-owned subsidiaries to simplify the group structure. Key mergers include:

  • In India: Mobiquity Softech Private Limited and Softcrylic Technology Solutions India Private Limited will merge into Hexaware Technologies Limited.
  • In US: Merger of Mobiquity Velocity Solutions Inc, Mobiquity Inc, and Softcrylic LLC into Hexaware Technologies Inc.
  • In Netherlands: Merger of Mobiquity Coöperatief U.A. and Mobiquity Consulting BV into Mobiquity BV.

These mergers are subject to board approval of the scheme of arrangement, regulatory approvals, and other administrative formalities.

The Board approved the standalone and consolidated audited financial results for the quarter ended September 30, 2025.
