Hero MotoCorp Board Approves Interim Dividend and Investment in Euler Motors

Hero MotoCorp’s board has approved an interim dividend of ₹110 per share for the financial year 2025-26. The record date is February 11, 2026, with payment by March 7, 2026. Additionally, the board approved an investment of up to ₹275 crore in Euler Motors. Further investments include up to ₹3.25 crore for a solar power project at Haridwar and up to ₹4.67 crore for projects in Neemrana and Jaipur.

Interim Dividend Declared

The Board of Directors has approved an interim dividend of ₹110 per equity share (5,500% on a nominal value of ₹2 per share) for the financial year 2025-26. The record date for determining shareholder entitlement is February 11, 2026, and the dividend payout will be completed by March 7, 2026.

Investment in Euler Motors

The board has sanctioned an additional investment of up to ₹275 crore in Euler Motors Private Limited. This investment will occur in one or more tranches through a combination of primary infusion and/or secondary purchase.

Solar Power Project Investments

The board has approved investments of up to ₹3.25 crore in a Solar Power Wheeling Project for the company’s Haridwar plant under the Group Captive Mechanism.

An investment of up to ₹4.67 crore has also been approved for a Solar Power Wheeling Project at the company’s Neemrana, Global Parts Centre and Centre for Innovation & Technology in Jaipur, also under the Group Captive Mechanism.

Appointment of Company Secretary

Mr. Prabhat Singh has been appointed as the Company Secretary and Compliance Officer, effective February 5, 2026. He will also serve as the Nodal Officer of the Company.

Euler Motors Investment Details

Euler Motors, incorporated on January 15, 2015, is engaged in designing, manufacturing, selling, and servicing electric three and four-wheeler vehicles and has a presence in 64 cities in India. The proposed investment will be an arm’s length transaction. The company’s turnover for the financial year ended March 31, 2025, was ₹191 crore. Prior to this investment, Hero MotoCorp’s shareholding in Euler is 34.1% (on a fully diluted basis) and it is expected to be 36% after the investment (on a fully diluted basis).
