HCLTech has signed an agreement to acquire Hewlett Packard Enterprise’s (HPE) Telco Solutions business. This acquisition will strengthen HCLTech’s engineering and AI capabilities for global communication service providers. The deal includes intellectual property, product engineering, R&D talent, and client relationships, supporting over 1 billion devices across 200+ deployments globally. The acquisition is expected to close in approximately six months.
Acquisition Overview
HCLTech has announced the acquisition of HPE’s Telco Solutions business, enhancing its position in the telecom industry. The agreement, signed on December 18, 2025, aims to bolster HCLTech’s engineering and AI-led network solutions for global communication service providers. This move follows a previous transaction with HPE in 2024.
Strategic Rationale
The acquisition will provide HCLTech with industry-leading intellectual property, product engineering expertise, R&D talent, and strengthened client relationships with major Communication Service Providers (CSPs). Telco Solutions supports over 1 billion devices across more than 200 deployments worldwide. These solutions encompass Operations Support Systems (OSS), Home Subscriber Server (HSS), and 5G Subscriber Data Management (SDM), featuring advanced AI-driven network automation.
Expanded Capabilities
HCLTech intends to leverage the acquired capabilities to expedite network transformation, Network as a Service (NaaS), and AI-led autonomous networking. Approximately 1,500 engineering and telecom specialists from 39 countries will join HCLTech’s global delivery team, enhancing the company’s ability to scale its business.
Financial Details
The total purchase price is up to US$160 million, including $15 million of incentives based upon FY25 performance. The transaction is subject to regulatory approvals and other customary closing conditions and is expected to close in approximately six months.
