The approval was secured during an Extra-Ordinary General Meeting (EGM) held on Saturday, March 14, 2026, via video conferencing. The detailed scope of the expansion now includes establishing and operating comprehensive shipping, air, rail, and road transport services.

Godawari Power & Ispat Limited has confirmed the successful passage of a resolution concerning the Alteration of the Memorandum of Association (MOA) of the Company. This decision was ratified by the shareholders during an Extra-Ordinary General Meeting (EGM) concluded on Saturday, March 14, 2026. The primary objective of this alteration is to formally equip the company to commence and undertake large-scale logistics activities.
Expanded Object Clause Details
As detailed in Annexure – A of the filing, the amendment specifically targets inserting a new clause 4 after sub-clause 3 of clause III (A) of the MOA. This new provision grants the Company the authority to:
- Establish, maintain, and operate integrated shipping, air transport, rail transport, and road transport services, along with all necessary ancillary services.
- Acquire and manage assets required for these operations, including steam-sailing motor and other ships, trawlers, railway wagons, and motor vehicles.
- Engage in the purchase, charter, hire, build, or construct of such equipment, and own or trade with these assets.
- Maintain, repair, improve, insure, alter, sell, or exchange any of the engines, tackles, gear, furniture, equipment, and stores associated with these transport mediums.
This strategic move signals a significant diversification of GPIL’s operational capabilities beyond its core activities, leveraging the infrastructure framework already in place to expand into comprehensive logistics management.
